The Companies Act 2014 (the “Act”) came into effect on 1 June 2015. The Act introduced significant reforms in company law in Ireland. While much of the law relating to general meetings is unchanged by the Act, it has introduced some important reforms. The law relating to general meetings of members of a private company limited by shares (LTD) is set out in Chapter 6 of Part 4 of the Act. Many of the provisions also apply to class meetings.
Please note this briefing was drafted when the Companies Act came into effect in 2015, and was revised in September 2020. It does not cover the Covid-19 temporary changes in company law, please view this factsheet for information on these changes: COVID19: New Changes to Company Law.
